Licensed Work:        NEURON (including the compiler, type checker, runtime, 
                      optimizer, standard library, PyCheck linter, WebAssembly 
                      engine, and all associated tooling and documentation)
Additional Use Grant: Free for non-commercial academic research, educational 
                      instruction, personal evaluation, and local non-production testing.
Change Date:          January 1, 2035
Change License:       Apache License, Version 2.0


Terms of the License

1. Grant of License.
   The Licensor hereby grants you a non-exclusive, royalty-free, worldwide, 
   non-sublicensable, non-transferable, and limited license to copy, inspect, 
   modify, and execute the Licensed Work, subject strictly to the conditions 
   and prohibitions set forth in Section 2.

2. Conditions and Prohibitions.
   You may Use the Licensed Work ONLY as permitted by the Additional Use Grant 
   (non-production, non-commercial research, education, and evaluation). 

   WITHOUT AN EXECUTED COMMERCIAL LICENSE FROM NEURON LABS, THE FOLLOWING ARE STRICTLY PROHIBITED:
   (a) Commercial Production Use: Deploying or executing the Licensed Work in any 
       revenue-generating commercial environment, live algorithmic trading or 
       quantitative financial execution, automated healthcare diagnostics, or 
       internal commercial enterprise production pipelines.
   (b) Managed Cloud & SaaS Services: Offering, hosting, wrapping, or sublicensing 
       the functionality of the Licensed Work (including but not limited to the 
       compiler, type checker, unlearning engine, PyCheck linter, or WASM engine) 
       as a hosted cloud service, API, platform, or managed service to third parties.
   (c) Proprietary Commercial Derivative Integration: Embedding or bundling the 
       Licensed Work within closed-source commercial software products or hardware devices.

3. Commercial and Enterprise Licensing.
   Commercial, enterprise, financial quantitative trading, and production licenses—
   including custom AOT hardware backends, enterprise SLA support, unlearning audit 
   compliance certificates, and full legal indemnification—are available exclusively 
   from Neuron Labs.

4. Change to Change License.
   Effective on the Change Date (January 1, 2035), the Licensor hereby grants you 
   a license to Use this version of the Licensed Work under the terms of the Change License.

5. Intellectual Property Rights.
   The Licensor retains all ownership, patents, intellectual property, and proprietary 
   rights in and to the Licensed Work.

6. Disclaimer of Warranty.
   THE LICENSED WORK IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR 
   IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS 
   FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE LICENSOR BE 
   LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, 
   TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE LICENSED WORK.

7. Limitation of Liability.
   TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE 
   FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER 
   (INCLUDING DAMAGES FOR LOSS OF PROFITS, TRADING LOSSES, BUSINESS INTERRUPTION, OR 
   DATA LOSS) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF THE LICENSED WORK.
